Chicago Investment Bank Services for Middle Market Owners

Investment banking advisory for middle market companies means guiding a privately held business through one of the most consequential transactions its owners will ever face. For Chicago-area founders and family business owners, that typically means evaluating whether to sell outright, transition to an ESOP, raise growth capital, or structure a partial liquidity event that preserves the company’s independence.

We provide a full range of advisory services, including ESOP transaction structuring and execution, sell-side and buy-side M&A, capital advisory (debt and equity), business valuations, and fairness opinions — all under one roof. Our advisors have completed over 200 total transactions, including $30B+ in M&A, $10B+ in ESOP across 50+ deals, and $7.5B+ in financing raised, giving Chicago owners access to experience across a wide range of deal structures and industrie

Who This Work Is For

Every owner’s situation is different, but these are the reasons Chicago-area owners most often come to us:

SEE IF AN ESOP COULD BE RIGHT FOR YOU

No obvious buyer — no family member or management team ready to step in
Partial liquidity — diversify wealth without a full sale
Key employee retention — needing to tie leadership to the company's future
Concentrated wealth — much of the owner’s wealth is tied up in the business
Owner-led culture at risk — concerned a buyer could change the company’s identity
Retirement horizon approaching — time-sensitive planning without a clear successor

How the Advisory Process Works

Every engagement begins with a feasibility conversation. We need to understand the business, the owner’s timeline, and what a successful outcome actually looks like before recommending a path.

#01

Feasibility assessment

We evaluate your company’s profile against ESOP eligibility critP eligibility criteria and M&A market conditions. This includes an initial valuation range, a review of your capital structure, and a candid assessment of which transaction types are realistic.

#02

Transaction structuring

We design the deal architecture: ESOP buyout, full sale, partial recapitalization, or a combination, built around your situation.

#03

Financing and capital sourcing:

For ESOP transactions, we help arrange the leveraged financing through our network of ESOP lenders. For M&A, we prepare the full marketing package and coordinate financing alongside the process.

#04

Buyer outreach and negotiation

We run a structured, confidential process. For sell-side M&A, that means targeted outreach to qualified buyers and negotiation on your behalf. For an ESOP, it means negotiating with the trustee and its advisors on your behalf.

#05

Closing

We coordinate legal, accounting, and lender workstreams through final execution, with senior advisors involved through closing.

Key Considerations in an ESOP Transaction

How is my business valued in an ESOP transaction?

An independent appraiser values your company using standard methodologies — discounted cash flow, market comparables, and asset-based approaches — and the trustee relies on that appraisal to determine fair market value in good faith. The trustee has a fiduciary obligation to employees and cannot pay more than adequate consideration.

How does ESOP financing work?

Most ESOP buyouts use a leveraged structure: a combination of senior bank debt, subordinated seller financing, and sometimes mezzanine capital. The company repays this debt through pre-tax contributions to the ESOP trust, which is one of the structure’s core financial advantages. Debt capacity — relative to your EBITDA — is the primary constraint the feasibility process evaluates.

Can I sell only a portion of my company to an ESOP?

Yes. An ESOP can buy less than 100% of a company, which lets owners take liquidity without a full exit. Ownership percentage affects tax: the Section 1042 rollover for C-corporation sellers requires the ESOP to own at least 30% immediately after the sale, and in an S corporation the ESOP’s share of income is generally not subject to federal income tax, so the benefit grows with the percentage the ESOP holds. Many owners use a partial transaction as a first stage and sell the remaining equity later as their goals evolve.

What are the tax implications of selling to an ESOP?

Selling to an ESOP can produce significant tax advantages, including potential deferral of capital gains under IRC Section 1042 for qualifying C-corporation sellers when the ESOP owns at least 30% after the sale and the seller reinvests proceeds in qualified replacement property within the statutory window. In an S corporation, the ESOP’s share of income is generally not subject to federal income tax, and the benefit grows with the ESOP’s ownership percentage. Tax outcomes depend on your corporate structure, deal terms, and individual situation — work with qualified tax counsel before drawing conclusions.

Frequently Asked Questions

How long does an ESOP transaction typically take to complete?

From feasibility through closing, most ESOP transactions take six to nine months. Complexity — ownership structure, financing sources, trustee process, and legal documentation — affects timing. Beginning with a thorough feasibility analysis shortens the overall timeline by surfacing and resolving issues before they reach the closing table.

What size company is a good candidate for an ESOP?

Most ESOP candidates have at least $3M in EBITDA and 30 or more employees, though larger and more complex transactions are common in our practice. The critical factors are sustainable cash flow sufficient to service acquisition debt and a management team capable of operating post-transition.

How do I evaluate ESOP advisory firms before choosing one?

Look for a firm with demonstrated ESOP transaction volume, not just general M&A experience. Ask how many ESOP transactions they have closed, what their role was in each, and whether they arranged the financing or only structured the plan. Relationship continuity — a named advisor, not a rotating team — matters considerably in a transaction of this complexity.

How does selling to an ESOP compare to a third-party sale?

A third-party sale typically generates the highest immediate purchase price but ends the seller’s role and transfers culture risk to an outside buyer. An ESOP preserves workforce continuity, can deliver competitive after-tax proceeds — particularly for C-corporation sellers utilizing Section 1042 — and allows the seller to maintain a role during transition. The right answer depends on your liquidity goals, tax situation, and legacy priorities.

What industries do ESOP advisory firms typically serve?

ESOPs work well across a broad range of industries. Our ESOP transactions have included companies in business services, construction and engineering, distribution, healthcare, industrials, and transportation and logistics — industries where recurring revenue, strong workforce tenure, and management depth make the structure viable and valuable.

Is an ESOP the right exit strategy for my business?

An ESOP is the right fit when an owner values legacy and workforce continuity alongside liquidity, and when the business generates consistent cash flow to service acquisition debt. It is not the only path — and for some owners, a strategic sale or recapitalization produces better outcomes. We conduct a full feasibility analysis before recommending any structure.
